General Terms

This Terms of Service Agreement governs your access to and use of the software, AI/AR platforms, web applications, and related services provided by Zenitude Tech Solutions (“Zenitude,” “we,” “us,” or “our”).

By accessing or using the Services, you (“Customer,” “User,” “you,” or “your”) agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not use the Services.

Acceptance of the Agreement

This Agreement applies to all Zenitude Services, whether free or paid. By using the Services, you represent that you are at least 18 years old and have the authority to enter into a binding legal agreement. If you are using the Services on behalf of an organization, you agree to this Agreement on behalf of that entity and represent that you have the authority to do so.

Description of Services

Zenitude provides cloud-based software solutions, AI and AR-based platforms, analytics tools, and automation systems designed to improve business performance and operational efficiency.

Zenitude may add, modify, or discontinue features or functionalities at any time without notice. Certain features may be subject to additional terms, which will be communicated when applicable.

Account Registration and Responsibilities

To access specific Services, you may be required to register for an account and provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account;
  • Promptly notifying Zenitude of any unauthorized access or use.

Zenitude reserves the right to suspend or terminate accounts found to be in violation of this Agreement or applicable law.

Free and Paid Subscriptions

Zenitude may offer both free and paid subscription plans. Access levels, features, and usage limits may vary depending on the plan.

By subscribing to a paid plan, you authorize Zenitude to charge your selected payment method for all applicable fees. Unless otherwise stated, all fees are non-refundable. Zenitude reserves the right to change pricing upon reasonable notice.

Use of Services

You agree to use the Services only for lawful purposes and in compliance with applicable laws. You shall not:

  • Use the Services for any unlawful or fraudulent activity;
  • Attempt to gain unauthorized access to any systems, accounts, or networks;
  • Reverse engineer, copy, or modify any part of the Services;
  • Interfere with or disrupt Zenitude’s systems or other users’ access.

Zenitude reserves the right to monitor usage and enforce fair use policies to ensure system stability and compliance.

User Content

You retain ownership of any content, data, or material you submit, upload, or store through the Services (“User Content”).
By using the Services, you grant Zenitude a limited, non-exclusive, royalty-free license to host, process, and use your User Content solely for providing and improving the Services.
Zenitude does not claim ownership of your intellectual property and will not share your content with third parties except as required by law or authorized by you.

API and Integrations

Where Zenitude provides application programming interfaces (APIs) or integrations, you must comply with applicable documentation, rate limits, and security requirements.
Zenitude may restrict or terminate API access in case of abuse, misuse, or unauthorized integration.

Confidentiality

You agree to treat all non-public information disclosed by Zenitude as confidential and to use it solely for purposes permitted under this Agreement. This obligation survives termination of the Agreement.

Intellectual Property Rights

All rights, title, and interest in the Services, including software, algorithms, models, trademarks, and related materials, are owned by Zenitude or its licensors.
Except for the limited right to use the Services as expressly granted herein, no other rights or licenses are provided.

Third-Party Services

The Services may integrate with or provide access to third-party products or services. Zenitude is not responsible for any third-party content, functionality, or availability. \
Use of such services is subject to the terms of the respective third parties.

Suspension and Termination

Zenitude may suspend or terminate access to the Services if:

  • You violate the terms of this Agreement;
  • Required by law or regulatory authority;
  • Your usage threatens the security or integrity of Zenitude systems.

Upon termination, your access to the Services will cease immediately. Zenitude may retain data in accordance with its data retention policy.

Warranty Disclaimer

The Services are provided on an “as is” and “as available” basis. Zenitude makes no warranties, express or implied, regarding merchantability, fitness for a particular purpose, non-infringement, or reliability. Zenitude does not warrant that the services will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted under applicable law, Zenitude shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities,arising from, or related to your use of the Services.

In no event shall Zenitude’s total liability exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Zenitude, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from:

  • Your use or misuse of the Services;
  • Your violation of this Agreement or applicable laws;
  • Infringement of any third-party rights.

Modifications to the Agreement

Zenitude reserves the right to update or modify this Agreement at any time. Updated terms will be posted on the Zenitude website. Continued use of the Services after such changes constitutes acceptance of the revised terms.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

Entire Agreement

This Agreement constitutes the entire understanding between you and Zenitude with respect to your use of the Services and supersedes all prior or contemporaneous agreements, whether oral or written.

Welcome to Zenitude (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of Zenitude’s websites, software, products, and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Acceptance of Terms

By creating an account, accessing, or using Zenitude’s Services, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into a binding agreement.

Your continued use of the Services signifies your acceptance of these Terms and any future modifications.

2. Modification of Terms

  • Notify us immediately at support@zenitude.ai if you suspect unauthorized access or account misuse.

Zenitude is not liable for any loss arising from unauthorized use of your account due to your negligence.

5. Acceptable Use

You agree to use Zenitude’s Services only for lawful purposes.

You must not:

  • Use the Services to transmit spam, malware, or unauthorized commercial content.
  • Publish or distribute harmful, defamatory, obscene, or unlawful material.
  • Violate intellectual property or privacy rights of others.
  • Attempt to gain unauthorized access to Zenitude’s systems or interfere with service operations.
  • Resell, sublicense, or exploit the Services for commercial gain without written consent.

Violation of this clause may result in suspension or termination of your account without notice.

6. Intellectual Property Rights

All content, design, logos, trademarks, software, and documentation within Zenitude’s Services are the intellectual property of Zenitude or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services for personal or business purposes in accordance with these Terms.

You may not copy, reverse-engineer, distribute, or create derivative works based on Zenitude’s content or software.

7. User Content

You retain ownership of the content you create, upload, or share through Zenitude’s Services.
By submitting content, you grant Zenitude a worldwide, royalty-free, non-exclusive license to host, store, process, and display such content for the purpose of operating and improving the Services.

Zenitude does not monitor or pre-approve user content but reserves the right to remove material that violates these Terms or applicable laws.

8. Privacy and Data Protection

Your use of Zenitude’s Services is also governed by our Privacy Policy and Data Usage Policy, which describe how we collect, use, and protect personal information.
By using our Services, you consent to these policies and agree to data processing as described therein.

9. Payments and Subscriptions (if applicable)

  • All fees are non-refundable unless required by law.

Zenitude reserves the right to suspend or terminate your access to the Services if you:

  • Engage in activity that disrupts or harms other users or our infrastructure.
  • Fail to pay required fees.

Upon termination, your right to use the Services ceases immediately. Certain obligations, including confidentiality, indemnity, and limitation of liability, will survive termination.

11. Third-Party Services

Zenitude’s Services may integrate with third-party applications or APIs.
Your use of such integrations is subject to the third party’s terms and services.
Zenitude is not responsible for the availability, accuracy, or conduct of third-party services.

12. Disclaimer of Warranties

Zenitude provides its Services “as is” and “as available” without warranties of any kind, whether express or implied.
We do not guarantee uninterrupted access, security, or error-free operation. To the fullest extent permitted by law, Zenitude disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Zenitude shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use or inability to use the Services.
Zenitude’s total liability shall not exceed the amount paid by you (if any) for the Services during the preceding twelve (12) months.

13. Indemnification

You agree to indemnify and hold harmless Zenitude, its affiliates, officers, employees, and partners, against any claims, damages, or expenses arising from your:

  • Violation of these Terms,
  • Misuse of the Services, or
  • Infringement of any third-party rights.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws .
All disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts.

15. Dispute Resolution

In the event of a dispute, both parties shall first attempt to resolve it amicably through written communication.
If unresolved within 30 days, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India) or an equivalent governing law, with proceedings held .

16. Entire Agreement

These Terms, along with the Privacy Policy, Data Usage Policy, and other referenced documents, constitute the entire agreement between you and Zenitude, superseding any prior agreements or communications.
